Terms & Conditions

These Terms & Conditions govern your use of services provided by Brindle Loom. Please read them carefully before engaging with any of our configuration or consultation offerings. By proceeding with our services, you acknowledge that you have read and understood these terms.

1.Definitions

Throughout these Terms & Conditions, the following terms carry the meanings set out below:

  • Service

    Refers to all AI-assisted product recommendation configuration and consultation offerings provided by Brindle Loom, including the Suggestion Starter, Recommendation Setup, and Catalogue Personalisation Programme.

  • User

    Any individual or business entity that accesses, inquires about, or engages with our Services through any channel including our website, email, or direct communication.

  • We / Us / Our

    Brindle Loom, a business operating from 3rd Floor, Menara Lien Hoe, Persiaran Tropicana, 47410 Petaling Jaya, Selangor, Malaysia.

  • Content

    All materials, reports, configurations, guides, summaries, and documentation produced or provided as part of a Service engagement.

  • Agreement

    The legally binding arrangement formed between Brindle Loom and the User upon commencement of a Service engagement, incorporating these Terms & Conditions.

2.Acceptance of Terms

By requesting a quote, signing a service agreement, or commencing work with Brindle Loom, you confirm that:

  • You are at least 18 years of age or represent a legally registered business entity.
  • You have the legal capacity and authority to enter into a binding agreement on behalf of yourself or your organisation.
  • You have read, understood, and agree to be bound by these Terms & Conditions in their entirety.
  • You accept any Service-specific terms communicated to you in writing prior to commencement.

If you do not agree to these terms, please refrain from engaging with our Services.

3.Service Description

Brindle Loom provides AI-assisted product recommendation configuration services to e-commerce businesses and online retailers. Our current Service offerings are as follows:

Suggestion Starter — RM 580

A catalogue sample review, pilot suggestion view setup, and a plain-language summary. Suited to stores new to product suggestion features. Estimated duration: 1–2 weeks.

Recommendation Setup — RM 1,700

Full product range configuration, storefront placement guidance, and a training session for your team. Estimated duration: 3–4 weeks.

Catalogue Personalisation Programme — RM 2,920

Multi-category configuration, periodic relevance review, and a maintenance guide for ongoing internal ownership. Initial phase: 4–6 weeks, with an ongoing review cycle thereafter.

Services are primarily delivered to businesses operating within Malaysia. Engagements outside Malaysia may be considered on inquiry but may be subject to different conditions.

4.User Responsibilities

To allow us to deliver Services effectively, you agree to:

  • Provide accurate, complete, and up-to-date information about your catalogue and business requirements.
  • Respond to our requests for clarification or supporting materials within a reasonable time.
  • Ensure that any data shared with us — including product catalogues, order history excerpts, or imagery — does not infringe third-party rights.
  • Use deliverables produced under the Service solely for your own lawful business purposes.
  • Not reproduce, resell, or redistribute our configurations, reports, or methodologies to third parties without prior written consent.

Prohibited activities include, but are not limited to:

  • Sharing Service outputs to circumvent engaging our Services independently.
  • Misrepresenting your business size, catalogue type, or intended use to obtain a Service at a rate not applicable to your situation.
  • Using any deliverable in a manner that is deceptive, unlawful, or contrary to good industry practice.
  • Attempting to reverse-engineer or extract proprietary methodologies embedded in our configuration recommendations.

5.Intellectual Property

All methodologies, frameworks, templates, and proprietary approaches used or developed by Brindle Loom remain our intellectual property. This includes, but is not limited to, the structure of our configuration reviews, our analytical processes, and any branded materials we produce.

Upon full payment of the agreed Service fee, you are granted a limited, non-exclusive, non-transferable licence to use the specific deliverables produced for your engagement within your own business operations. This licence does not extend to:

  • Sub-licensing or reselling the deliverables to third parties.
  • Using our methodologies to offer competing services.
  • Removing or obscuring any attribution or branding included in our materials.

Data and information you supply to us for the purpose of the Service remains your property. By providing it, you grant us a limited licence to access and process it solely for the delivery of your engaged Service.

6.Payment Terms

All fees are denominated in Malaysian Ringgit (RM) and are as stated in your confirmed service agreement or proposal. Payment terms are as follows:

  • One-off Services (Suggestion Starter, Recommendation Setup): Payment is due in full, or as agreed upon in a written schedule, prior to or at commencement of work.
  • Ongoing Services (Catalogue Personalisation Programme): An initial engagement fee covers the first phase. Ongoing review cycles are billed on a schedule agreed in writing.
  • Accepted payment methods will be communicated in the service agreement.
  • Invoices not settled within 14 days of issuance may incur a late fee of 1.5% per month on the outstanding amount, unless otherwise agreed.

Adjustment and Refund Policy

Given the consultative and configurative nature of our Services, fees paid for work already commenced are generally non-refundable. If a project is cancelled by you before work begins, we will discuss an appropriate resolution on a case-by-case basis. Any agreed adjustments will be confirmed in writing.

7.Service-Specific Terms

The following terms apply specifically to our service delivery model:

Scope and Changes

The scope of each Service is defined at the outset of the engagement. Requests to expand the scope after work has commenced may result in additional fees, which will be communicated and agreed upon before extra work begins.

Delivery Timelines

Estimated timelines are provided in good faith and represent typical delivery periods. Delays caused by slow supply of required materials from your side, public holidays, or factors outside our control may extend delivery periods accordingly.

Confidentiality

Both parties agree to treat each other's proprietary information as confidential. We will not share your catalogue data, business specifics, or engagement details with third parties without your written consent, except as required by law.

Service Level Expectations

We aim to respond to project-related queries within two business days during standard working hours (Monday to Friday, 9:00 AM – 6:00 PM MYT, excluding Malaysian public holidays).

8.Disclaimers

Our Services are provided on a professional best-efforts basis. We make no representations that a particular configuration will produce a specific volume or pattern of sales, customer engagement, or revenue outcome. The suitability of any recommendation configuration depends on many factors outside our control, including your platform, audience, and product mix.

To the extent permitted by applicable law, our Services are provided without warranties of any kind, express or implied, including but not limited to warranties of merchantability, fitness for a particular purpose, or non-infringement.

Nothing in our deliverables constitutes financial, legal, or regulatory advice. You remain responsible for ensuring that your storefront and business operations comply with all applicable laws and platform requirements.

9.Limitation of Liability

To the fullest extent permitted by Malaysian law, Brindle Loom's total aggregate liability arising out of or in connection with any Service engagement shall not exceed the total fees paid by you for the specific Service giving rise to the claim.

In no event shall Brindle Loom be liable for:

  • Loss of revenue, profits, or anticipated savings.
  • Loss of data or business interruption.
  • Indirect, incidental, consequential, or special damages of any kind.
  • Actions or omissions of third-party platforms, tools, or services used alongside our configurations.

This limitation of liability applies whether the claim arises in contract, tort, or otherwise, and even if we have been advised of the possibility of such damages. Nothing in these terms excludes liability for fraud, death, or personal injury caused by our negligence, which cannot be limited by law.

Force Majeure: Brindle Loom shall not be held liable for delays or failures in performance resulting from circumstances beyond our reasonable control, including natural events, infrastructure outages, government actions, or disruptions to third-party platforms.

10.Indemnification

You agree to indemnify, defend, and hold harmless Brindle Loom, its personnel, and its representatives from and against any claims, losses, expenses, or liabilities arising from:

  • Your use or misuse of any Service deliverable.
  • Any inaccuracy or misrepresentation in the information you provided to us.
  • Your breach of any of these Terms & Conditions.
  • Your violation of applicable laws or third-party rights in connection with your business operations.

11.Termination

Either party may terminate an ongoing Service engagement by providing written notice of at least 14 days, unless a different notice period has been agreed in the service agreement.

We reserve the right to suspend or terminate a Service without prior notice if you:

  • Materially breach these Terms & Conditions and fail to remedy the breach within 7 days of written notice.
  • Engage in conduct that is harmful, dishonest, or contrary to applicable law.
  • Fail to make payment as agreed.

Upon termination, your licence to use any delivered materials remains in effect for materials fully paid for. Provisions relating to intellectual property, limitation of liability, indemnification, and dispute resolution survive termination.

12.Dispute Resolution

These Terms & Conditions are governed by and construed in accordance with the laws of Malaysia. Any disputes arising under or in connection with these terms shall be subject to the exclusive jurisdiction of the courts of Malaysia.

Informal Resolution

Before initiating any formal process, both parties agree to make a genuine effort to resolve any dispute through direct communication. Please reach out to us at [email protected] with a written description of the concern.

Mediation

If direct communication does not produce a resolution within 30 days, either party may request mediation through the Asian International Arbitration Centre (AIAC) or another mutually agreed mediator before pursuing formal legal proceedings.

13.General Provisions

Entire Agreement

These Terms & Conditions, together with any written service agreement or proposal, constitute the complete agreement between the parties and supersede all prior understandings regarding the subject matter.

Severability

If any provision of these terms is found to be unenforceable under applicable law, that provision shall be modified to the minimum extent necessary to make it enforceable, and the remaining provisions shall continue in full force.

Waiver

Our decision not to enforce a particular provision of these terms in one instance does not constitute a waiver of that provision in future instances.

Assignment

You may not assign or transfer your rights or obligations under these terms without our prior written consent. We may assign our rights and obligations to a successor entity in connection with a business restructure or acquisition.

Notice

Formal notices should be sent in writing to our registered address or to [email protected]. Notices sent by email are considered received on the next business day.

14.Changes to Terms

We may update these Terms & Conditions from time to time to reflect changes in our Services, applicable law, or business practices. When we do, we will update the "Last Updated" date at the top of this page.

For active Service engagements, we will notify you of material changes by email. Continuing to use our Services after any update takes effect indicates your acceptance of the revised terms. If you do not agree with a material change, you may terminate an ongoing engagement by providing written notice as described in Section 11.
